Terms and Conditions

Version 1.1 – April 2026 |  OVERDRACHT / OVERDRACHT SOFTWARE INC.
These General Terms and Conditions of Sale (hereinafter "T&C") govern the contractual relationship between OVERDRACHT SOFTWARE INC., a Canadian company headquartered in Surrey, British Columbia, Canada (hereinafter "the Publisher") and any legal or natural person subscribing to the OVERDRACHT platform (hereinafter "the Client").

Article 1 – Purpose of the Service

OVERDRACHT is a SaaS (Software as a Service) platform for international logistics management. The service includes shipment management, Kanban tracking, QR code generation, and dispute management.

Article 2 – Access and Terms

Access to the service is available after account creation and subscription to a pricing plan (DIRECT or MARITIME).

Article 3 – Financial Conditions

3.1 Subscription

The service is provided under a fixed subscription (monthly or annual) at the rate in effect on the date of subscription.

Current license rates:
STANDARD plan: 199 excl. tax / month · Users: 100 excl. tax / user / year (in your local currency)
PREMIUM plan: 299 excl. tax / month · Users: 150 excl. tax / user / year (in your local currency)
Discounts on license only: 1 free month per year of commitment (2 years = 2 months, 3 years = 3 months) · Additional 5% for 3 years.

Article 4 – Payment

Payment is made by credit card or electronic payment methods (Stripe). Any default of payment results in immediate suspension of platform access.

Article 5 – Liability

The Publisher commits to a best-efforts obligation regarding service availability. The Publisher does not intervene in physical goods transportation and cannot be held responsible for losses, damages or delivery delays.

Article 6 – Data Protection

The Publisher ensures strict data isolation (multi-tenant). The Client remains the owner of their shipment data. Upon termination, data remains exportable for 60 days.

Article 7 – Governing Law and Jurisdiction

These T&C are governed by the laws of British Columbia, Canada. Any dispute shall be submitted to the exclusive jurisdiction of Surrey (BC) courts.

Article 8 – Acceptance

Creating an account or subscribing to a plan constitutes unreserved acceptance of these T&C and their associated rates.
